1. Agreement to these terms

These Terms of Service govern your use of Klarion, a business payment monitoring service operated by Effect Studios. By creating an account, accepting an invitation, connecting a gateway phone, accessing a shared live view, or using any Klarion service, you agree to these Terms.

If you use Klarion for a company, branch, shop, organization, or other business, you confirm that you are authorized to accept these Terms on that business's behalf.

2. What Klarion does

Klarion helps businesses capture mobile-money payment SMS alerts from authorized gateway phones and turn them into structured payment records, dashboards, analytics, location views, exports, and integration-ready events.

Klarion is a monitoring, recordkeeping, and operations tool. Klarion is not a bank, telecommunications provider, mobile-money provider, payment processor, escrow service, accounting firm, tax adviser, or financial adviser. Klarion does not move, hold, settle, reverse, or guarantee funds.

3. Business accounts and users

• The first user who creates a workspace may become the workspace owner.
• Workspace owners are responsible for team invitations, roles, permissions, locations, live links, and gateway phones.
• Each user must use their own account. Do not share login credentials.
• You are responsible for keeping account details accurate and protecting passwords, devices, OTP codes, and refresh sessions.
• You must tell us promptly if you believe a Klarion account, gateway credential, live link, or device has been compromised.

4. Gateway phones, SMS access, and customer notices

Klarion works by connecting Android gateway phones that receive mobile-money SMS notifications. You may connect only phones, SIMs, numbers, wallets, and devices that you own, control, or are legally authorized to monitor.

You are responsible for deciding whether you need notices, consent, employment terms, customer disclosures, or internal policies before using Klarion with a phone number, counter, branch, staff member, or payment wallet. You must not use Klarion to monitor personal phones, private conversations, unrelated personal messages, or any person without proper authority.

Because a gateway phone can receive messages that are not payment notifications, we strongly recommend using a dedicated business phone or SIM for Klarion.

5. Payment records and accuracy

Klarion depends on information provided by SMS messages, phones, networks, mobile-money providers, users, and connected systems. Payment messages can be delayed, duplicated, incomplete, spoofed, misclassified, or unavailable. You remain responsible for confirming payments through your mobile-money provider, bank, POS provider, accounting system, or other official source before releasing goods, providing services, making refunds, filing reports, or making business decisions.

Klarion analytics are provided for operational insight. They are not audited financial statements, tax advice, settlement confirmation, or proof that money has finally settled.

6. Your data and responsibilities

You keep ownership of business data you submit or authorize Klarion to collect, including workspace data, location data, SMS records, payment records, exports, and integration payloads. You give Effect Studios permission to host, process, transmit, transform, display, secure, back up, and analyze that data as needed to provide and improve Klarion.

You are responsible for ensuring that you have the rights and lawful basis needed to provide or authorize collection of the data you bring into Klarion, including payer names, payer phone numbers, transaction references, staff details, location data, and SMS content.

7. Acceptable use

You must not use Klarion to:

• break the law or violate data protection, consumer protection, telecoms, payments, tax, employment, or privacy rules;
• monitor private phones, private messages, or people without authority;
• upload or transmit malware, abusive content, illegal content, or information you have no right to process;
• reverse engineer, overload, attack, scrape, or interfere with Klarion or connected systems;
• attempt to bypass authentication, role permissions, device credentials, live-link controls, or security limits;
• misrepresent Klarion as a bank, payment processor, mobile-money provider, or official settlement confirmation system;
• use Klarion data for advertising, surveillance, credit scoring, lending eligibility, or unrelated profiling.

8. Integrations, exports, and live links

Klarion may allow exports, API access, webhooks, shared live location links, and other integrations. You are responsible for who receives exported data, which systems are connected, which links remain active, and whether third-party systems handle the data lawfully and securely. Effect Studios is not responsible for third-party services you choose to connect, unless required by law.

9. Beta access, fees, and changes

Klarion may be offered free during beta, early access, pilots, or limited launches. We may introduce paid plans, usage limits, or new commercial terms in the future. We will give reasonable notice before charging for a service that was previously free for your workspace.

We may modify, suspend, or discontinue parts of Klarion as the product changes, especially while it is in beta. We will try to avoid unnecessary disruption to active business workflows.

10. Privacy

Our Privacy Policy explains how we collect, use, share, protect, retain, and delete information. By using Klarion, you agree that we may process information as described in that policy.

11. Intellectual property

Klarion, including its software, design, brand, logos, workflows, documentation, and related materials, belongs to Effect Studios or its licensors. These Terms do not transfer ownership of Klarion to you. You may use Klarion only as allowed by these Terms.

If you send feedback, ideas, or suggestions, you allow us to use them without restriction or compensation.

12. Suspension and termination

You may stop using Klarion at any time. We may suspend or terminate access if we believe you violated these Terms, created security risk, used Klarion unlawfully, failed to pay applicable fees, or used Klarion in a way that could harm users, customers, Effect Studios, or the service.

After termination, we may retain or delete data according to our Privacy Policy, legal obligations, backup practices, and legitimate business needs.

13. Disclaimers

Klarion is provided on an "as is" and "as available" basis. To the fullest extent allowed by law, Effect Studios disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and absolute accuracy of payment parsing or analytics.

14. Limitation of liability

To the fullest extent allowed by law, Effect Studios will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, failed transactions, delayed SMS messages, provider outages, business interruption, or decisions made from unverified payment records.

To the fullest extent allowed by law, Effect Studios' total liability for claims relating to Klarion will not exceed the amount you paid to Effect Studios for Klarion in the three months before the event giving rise to the claim. If you paid nothing, the total liability will be GHS 500.

15. Indemnity

You agree to defend and hold Effect Studios harmless from claims, losses, damages, liabilities, costs, and expenses arising from your workspace data, your gateway phone use, your integrations, your violation of these Terms, your violation of law, or your use of Klarion without proper authority.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict of law rules. Before filing a formal claim, you agree to contact us and try to resolve the issue informally. If we cannot resolve it within 30 days, either party may bring the claim before a court of competent jurisdiction in Ghana, unless applicable law requires another forum.

17. Changes to these terms

We may update these Terms as Klarion changes or as legal requirements change. If a change materially affects your rights or obligations, we will take reasonable steps to notify you. Continued use of Klarion after the updated Terms become effective means you accept the updated Terms.
